Terms of trade
How we quote, sell,ship and settle.
Short, plain terms that apply to every quote unless a signed contract says otherwise. They exist so that both sides know what to expect before any money moves.

1. Quotes
A quote states the product, grade or specification, quantity, packing, price basis (ex-Rajkot or delivered within India; EXW, FOB, CFR or CIF for export, Incoterms 2020), currency, payment terms, dispatch date and how long the quote is valid. Because market rates move daily, a quote lapses at the stated time unless confirmed.
Taxes, duties and charges outside India are the buyer's responsibility unless the quote says otherwise.
2. Samples and specification
We send a pre-shipment sample for a first order. The sample you approve, together with the written specification and the certificate of analysis for the lot, is the standard the lot is judged against.
Natural produce varies by season and region. Tolerances for colour, size, moisture and purity are those stated in the specification; where none is stated, the usual trade tolerance for the grade applies.
3. Orders and payment
An order is binding when you confirm the quote in writing (email or WhatsApp is fine) and pay the agreed advance. Within India we accept bank transfer and UPI against a GST tax invoice; for export we accept advance payment by bank transfer, or a letter of credit from your bank for larger orders.
We may hold dispatch, or cancel an order and refund the advance less costs already incurred, if a balance due before dispatch is not paid.
4. Testing and certificates
Tests are agreed before the order and their cost is shown in the quote. Export lots ship with a certificate of analysis from an NABL-accredited laboratory for the agreed parameters. We keep a retained sample of every lot for at least three months after dispatch.
5. Packing and marking
Goods are packed in new bags, cartons or retail packs as quoted, each marked with product, grade, lot number, net weight and date. Private-label packs follow the artwork you approve; you are responsible for owning the brand and the artwork, and for any claims made on your label beyond our specification.
6. Delivery and risk
Dispatch dates are given in good faith; delays caused by harvest, weather, transport, port congestion or government action are notified as soon as we know of them and do not entitle the buyer to cancel unless the delay exceeds 30 days.
Within India, risk passes when the goods are handed to the transporter (ex-Rajkot) or delivered to your address (delivered quotes). For export, risk passes according to the agreed Incoterm.
7. Claims
Check the goods against the sample and the lot sheet on arrival. Tell us within 7 days of delivery, quoting the lot number and sending photographs; for export, within 7 days of the container being opened. We compare the retained sample and the lot's certificate, and agree a replacement, credit or return. Claims made later, or on goods that have been repacked, mixed or stored badly, cannot be accepted.
Our liability for any lot is limited to the invoice value of that lot.
8. Compliance
We do not fumigate with ethylene oxide, do not sell a lot as a grade it does not meet, and do not describe goods as organic without a valid certificate for that lot. Buyers are responsible for import licences, product registrations and labelling approvals in their own market; we supply the documents listed on the export page to support them.
9. Events beyond our control
Neither party is liable for failure caused by events beyond its reasonable control, including crop failure, export bans or restrictions, port closures, war, epidemic or natural disaster. If such an event lasts more than 60 days, either party may cancel the affected order and we refund any advance for undelivered goods.
10. Law
These terms apply to every quote and sale by GRONATIC NATURAL FARM unless a signed contract says otherwise. They are governed by the laws of India, and the courts at Rajkot, Gujarat, have jurisdiction.
